Terms of Service

These Terms of Service ("Terms") govern your access to and use of Ymbia’s platform, applications, and services (collectively, the “Services”). Please read them carefully. By using our Services, you agree to be bound by these Terms. If you do not agree, do not use Ymbia.

Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use the Services. By using Ymbia, you represent and warrant that you meet these requirements.

Account Registration

To access certain features, you may be required to create an account. You agree to provide accurate and current information and to keep your credentials secure. You are responsible for all activity associated with your account. Ymbia reserves the right to suspend or terminate your account at our discretion, particularly if your use violates these Terms or poses risk to our platform or others.

Acceptable Use

You agree to use the Services only as permitted by law and these Terms. You may not: (1) Reverse engineer, decompile, or access the source code or underlying algorithms; (2) Use the Services for any unlawful or fraudulent activity; (3) Upload or transmit malicious software or harmful code; (4) Interfere with the functionality or security of the Services or access data not intended for you; (5) Use automated tools to extract data or scrape content unless expressly permitted. Note: Ymbia offers AI-assisted code compliance insights and permit preparation tools. These are for informational use only and do not constitute legal advice or formal regulatory approvals.

Intellectual Property

The Ymbia platform, including all software, AI models, databases, the Interactive Floorplan Designer, compliance logic, visual interfaces, and all content developed by Ymbia, Inc., is the exclusive property of Ymbia, Inc. and protected under intellectual property laws. You may not reproduce, reuse, or distribute any part of the Services, including our brand assets, without prior written consent.

User Content

You retain ownership of content (including project files, drawings, designs, or specifications) you submit through the Services (“User Content”). By submitting User Content, you grant Ymbia a non-exclusive, worldwide, royalty-free license to host, store, process, and display it strictly to operate, enhance, and improve our Services. You represent that you have the legal right to upload the content and that it does not infringe on any third-party rights or violate applicable codes or laws.

Data Collection and Usage

Ymbia may collect usage data, technical metadata, and project-level information when you interact with the Services. Personal data is handled according to our Privacy Policy. Project and technical data (e.g., plan specs, compliance check results) may be aggregated, anonymized, and used to improve AI models and system performance. We do not sell personal data.

Third-Party Systems

Some functionality may rely on integrations with municipal permitting systems, third-party APIs, or code repositories such as NOA databases. Ymbia does not guarantee the availability, accuracy, or reliability of these third-party systems, which may be governed by separate terms and policies.

Disclaimers

Ymbia is provided on an “as-is” and “as-available” basis. We make no warranties, express or implied, including: (1) Fitness for a particular purpose; (2) Merchantability; (3) Accuracy of code compliance suggestions; (4) Approval or acceptance of permit applications by regulatory authorities. Use of our AI tools is at your own discretion and risk.

Limitation of Liability

To the fullest extent permitted by law, Ymbia, Inc. and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost revenue, profits, or data — arising out of or related to your use of the Services. Total liability under these Terms is limited to the amount you paid for the Services in the twelve (12) months prior to the claim.

Indemnification

You agree to indemnify and hold harmless Ymbia, its affiliates, employees, officers, and agents from any claims, liabilities, damages, and expenses arising from your: (1) Violation of these Terms; (2) Violation of applicable laws or third-party rights; (3) Submission of infringing or unlawful content.

Termination

We may suspend or terminate your account or access to the Services at any time, with or without notice, for any reason, including suspected abuse or violation of these Terms. Upon termination, your right to use the Services will cease immediately. The following sections will survive: Intellectual Property, Data Collection, Disclaimers, Limitation of Liability, Indemnification, Governing Law.

Modifications to Terms

We may update these Terms periodically. Material changes will be communicated via email or through the Services. Your continued use after updates constitutes acceptance of the revised Terms.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the courts located in Miami-Dade County, Florida.
